The Firm’s transactional practice includes mergers and acquisitions, purchase and sales of assets, corporate finance, joint ventures and international transactions, licensing and technology transactions, and other related corporate matters.  We provide a wide range of services on general corporate and partnership matters, securities and private placements, intellectual property, licensing, trade regulation and real estate development.  Our attorneys have been involved in transactions ranging from public billion-dollar business deals to small private transactions.

 

We routinely serve as local counsel in public business combinations or financings for Fortune 500 companies.  Through experience obtained working at large multi-national firms, our attorneys have developed strong relationships with many of the world’s largest and most prestigious laws firms and can call upon such firms to prove additional services and resources for our clients when needed.  In return, we are dedicated to providing those firms excellent legal services when asked to serve as local counsel on transactions headed up by those firms.

 

The Firm has represented numerous companies in raising equity investments through private placements of securities.  In addition, our attorneys represent institutional lenders and individuals in the structure and execution of investment strategies in privately held companies.

 

Our attorneys often represent investors in connection with private placements by private and publicly held companies and represent underwriters and remarketing agents in connection with municipal and other tax-exempt and taxable offerings and remarketings.

 

The Firm has substantial experience representing borrowers, banks and other financial institutions in commercial loan transactions.  This representation includes the restructuring of defaulted loans and other “workout” activities.  The attorneys in the Firm work together and assist lenders in matters involving potential exposure from claims arising from environmental hazards and lender liability theories.  The Firm is recognized for its ability to represent parties in complex, multi-state commercial transactions.
